Terms of Service

1. Introduction

Welcome to Filmbase ("Service"), a platform where users can manage information about their film photography inventory, developed and operated by Midnight Slate Labs LLC ("us", "we", "our").

These Terms and Conditions ("Terms", "Agreement") govern your use of our web application and the services provided therein.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.

2. Definitions

User refers to any individual who accesses or uses the Service, including both free and paid ("PRO") subscribers.

Content refers to all information related to film photography inventory that a User uploads, enters, or manages within the Service.

3. Accounts

3.1 Registration

To use certain features of the Service, you must register for an account. When you register, you must provide accurate and complete information. You are solely responsible for the security of your account and password.

3.2 Account Tiers

Filmbase offers two account tiers:

  • Free Account: Basic functionality requiring only name and email.
  • PRO Account: Enhanced functionality, available through a paid subscription (see Section 4).

4. Subscription and Payments

4.1 Subscription Terms

Filmbase offers an optional paid "PRO" subscription, available as a monthly or annual auto-renewing subscription. The subscription title, length, and price are shown at the point of purchase before you confirm. New subscribers to the annual plan through the Filmbase iOS app receive a one-time 7-day free trial; free trials are not offered for web subscriptions or the monthly plan, which begin billing immediately.

4.2 Payment Processing

  • Web: Subscriptions purchased on our website are processed by Stripe. By subscribing, you agree to Stripe's Terms of Service.
  • iOS app: Subscriptions purchased through the Filmbase iOS app are processed by Apple and billed to your Apple Account, and are subject to Apple's Media Services Terms and Conditions.

4.3 Automatic Renewal

Your subscription renews automatically at the then-current price at the end of each billing period unless canceled at least 24 hours before the end of the current period. For Apple-billed subscriptions, your Apple Account is charged within 24 hours prior to the end of the current period. You can manage or turn off auto-renewal at any time — Apple: Settings → [your name] → Subscriptions; Web: your account billing settings.

4.4 Free Trials

Where a free trial is offered (currently the annual plan purchased through the Filmbase iOS app), it automatically converts to a paid subscription at the end of the trial unless canceled at least 24 hours before it ends. If you purchase a subscription during a free trial, any unused portion of the trial is forfeited. Free trials are limited to one per Apple Account and may not be available to prior subscribers.

4.5 Cancellation and Refunds

You may cancel at any time. Apple-billed subscriptions must be canceled through the App Store (Settings → [your name] → Subscriptions); canceling within the app's account settings will not stop Apple billing, and refunds for Apple purchases are handled by Apple per Apple's policies. Web (Stripe) subscriptions can be canceled in your account settings; refunds follow our refund policy. Cancellation takes effect at the end of the current billing period; PRO access continues until then.

5. User Content

5.1 Ownership and License

You retain all rights to the Content you upload or manage through the Service.

By uploading Content (including film images for EXIF data modification), you grant Midnight Slate Labs LLC a non-exclusive, worldwide, royalty-free license to use, store, process, and display your Content solely for the purpose of:

  • Providing and operating the Service
  • Processing your requests for EXIF data modification
  • Improving and maintaining the Service
  • Enforcing our rights under these Terms
  • Complying with applicable laws

This license is limited to the 7-day storage period for images and exists only for the purposes specified above. We will not use your Content for any other purposes without your explicit consent.

5.2 Image Uploads and Storage

Film images that you upload to the Service:

  • Are stored for a maximum of 7 days after uploading
  • Are used solely for the purpose of EXIF data (metadata) modification
  • Are not shared with any third parties
  • Are automatically deleted after the 7-day period

5.3 Prohibited Content

You agree not to upload Content that:

  • Infringes on intellectual property rights
  • Is illegal, harmful, threatening, abusive, or invasive of privacy
  • Contains malware or harmful code
  • Impersonates any person or entity

6. Service Usage and Limitations

6.1 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms.

6.2 Service Modifications

We reserve the right to modify, suspend, or discontinue Filmbase (in whole or in part) at any time, with or without notice to you. This includes the right to:

  • Add or remove features or functionality
  • Change the user interface
  • Modify storage limits or other specifications
  • Adjust subscription plans and pricing
  • Terminate the Service entirely

We shall not be liable to you or any third party for any such modifications, suspension, or discontinuation of the Service. In the event of a complete discontinuation, we will make reasonable efforts to notify users in advance.

6.3 Data Storage Limits

Free accounts may be subject to storage limitations. PRO accounts receive storage capabilities as specified in the subscription plan. All uploaded film images are subject to the 7-day temporary storage policy regardless of account type.

7. Intellectual Property

7.1 Service Ownership

The Service and its original content, features, and functionality are owned by Midnight Slate Labs LLC and are protected by international copyright, trademark, and other intellectual property laws.

7.2 Restrictions

You may not:

  • Modify, adapt, or hack the Service
  • Reverse engineer any aspect of the Service
  • Frame or mirror any part of the Service without prior written authorization
  • Use the Service to build a competitive product
  • Access the Service through automated means (bots, scripts, etc.) without our permission

8. Termination

8.1 Termination by User

You may terminate your account at any time by following the instructions on the Service or by contacting us.

8.2 Termination by Us

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including without limitation if you breach the Terms.

8.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We may delete your Content upon termination.

9. Limitation of Liability

To the maximum extent permitted by law, in no event shall Midnight Slate Labs LLC, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your use or inability to use the Service
  • Any unauthorized access to or use of our servers and/or any personal information stored therein
  • Any interruption or cessation of transmission to or from the Service
  • Any bugs, viruses, trojan horses, or the like which may be transmitted through the Service by any third party

In no event will our total liability exceed the amount you paid us, if any, in the 12 months preceding the event giving rise to the liability or one hundred US dollars (USD $100), whichever is greater.

10. Disclaimer

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The use of the Service is at your own risk. The Service is provided without warranties of any kind, whether express or implied.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

13. Indemnification

You agree to defend, indemnify, and hold harmless Midnight Slate Labs LLCand its affiliates, officers, directors, employees, and agents, from and against all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

  • Your use of Filmbase or any activities under your account
  • Your breach or alleged breach of these Terms
  • Your Content or any data you upload to the Service
  • Your violation of any law or the rights of a third party

14. Third-Party Services

14.1 Service Providers

Filmbase integrates with and relies upon various third-party service providers:

  • Stripe for payment processing
  • Digital Ocean for database and storage services
  • Posthog for analytics
  • Sentry for error and issue handling

Your use of Filmbase involves the transmission of your information to these third-party services. We are not responsible for the privacy practices or content of these third parties. We encourage you to review the privacy policies of these third-party service providers.

14.2 Third-Party Links

The Service may contain links to third-party websites or services that are not owned or controlled by Midnight Slate Labs LLC. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

14.3 Apple App Store (Licensed Application End User License Agreement)

The following applies to the Filmbase application obtained through the Apple App Store ("App"):

  • This Agreement is between you and Midnight Slate Labs LLC only, not with Apple; Apple is not responsible for the App or its content.
  • Your license to use the App is a non-transferable license to use it on any Apple-branded device you own or control, as permitted by the App Store Terms of Service.
  • To the extent these Terms provide less than Apple's standard Licensed Application End User License Agreement (https://www.apple.com/legal/internet-services/itunes/dev/stdeula/), Apple's standard EULA applies.
  • Apple has no obligation to provide maintenance or support for the App.
  • Apple is not responsible for any product warranties, express or implied. If the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any); to the maximum extent permitted by law, Apple has no other warranty obligation.
  • Apple is not responsible for addressing claims by you or any third party relating to the App (including product liability, legal/regulatory non-compliance, and consumer-protection claims).
  • Apple is not responsible for the investigation, defense, settlement, or discharge of any third-party IP infringement claim relating to the App.
  • You represent that you are not located in a country subject to a U.S. Government embargo or designated "terrorist supporting," and are not on any U.S. Government restricted-parties list.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, may enforce them against you.
